1. Introduction
In Liechtenstein, the second Shareholders’ Rights Directive of the European Union (ARUG II, Directive (EU) 2017/828) has been implemented into national law through the Liechtenstein Persons and Companies Act (hereinafter referred to as the “PGR”). PrismaLife AG (hereinafter “PrismaLife”) is a company conducting life insurance business in Liechtenstein and therefore qualifies as an institutional investor pursuant to Article 367a PGR.
In accordance with Article 367h PGR, PrismaLife is required either to publish its engagement policy in relation to its shareholdings in listed companies on its website or to publicly explain why it has chosen not to do so, or not to do so in full (“comply or explain”).
With regard to investments in listed companies, a distinction must be made between:
a. shares held in PrismaLife’s own portfolio; and
b. shares held by PrismaLife within the framework of unit-linked and fund-linked life or pension insurance solutions on behalf and at the risk of the policyholder(s).
2. Disclosures pursuant to Article 367h PGR – Engagement Policy
2.1 Shares held in the Company’s own portfolio – Disclosures pursuant to Article 367h PGR (excluding unit-linked and fund-linked life insurance)
PrismaLife (PL) does not hold any shareholdings in listed companies. However, PL maintains a direct participation in a joint-stock company. The extent of this participation is minor in relation to the total volume of its investments. For this reason, PL does not adopt or implement an engagement policy within the meaning of Article 367h PGR. Accordingly, no disclosures pursuant to Article 367h PGR are made.
2.2 Shares in the investment portfolios of unit-linked and fund-linked insurance products – Disclosures pursuant to Article 367h PGR
The selection of fund products within the framework of unit-linked life insurance is made directly by the policyholder. With regard to the engagement policy and disclosure requirements, reference is made in this context to the websites of the respective fund management companies.
3. Disclosures pursuant to Article 367i PGR
The objective of PrismaLife’s investment strategy is to ensure the long-term solvency of PrismaLife while achieving distributable returns and fulfilling all obligations towards policyholders at all times.
In principle, pension insurance policies where cover commenced before May 2019 are entitled to a share of surpluses, although this entitlement applies only during the pension phase and not during the savings phase.
